These Terms of Service (“Terms”) are a binding agreement between you and Relay AI (“Relay AI,” “we,” “us”) and govern your access to and use of the Relay AI platform, dashboard, APIs, and related services (the “Service”). Please read them carefully.
1. Acceptance of terms
By creating an account, clicking “Sign up,” or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.
2. Description of the Service
Relay AI is an AI-agency platform that lets agencies build, deploy, and manage AI assistants for their own clients — configuring assistants, capturing and qualifying leads, running conversations, and managing billing and usage. Relay AI provides the software, infrastructure, and support; we do not provide the professional services your agency or its clients deliver. We may add, change, or remove features over time.
3. Accounts & roles
You must provide accurate account information and keep your credentials secure; you are responsible for activity under your account. The Service supports different roles — including a platform-level operator, an agency owner, and agency team members — each with different permissions. You are responsible for managing your team’s access and for their compliance with these Terms.
4. Acceptable use
You agree not to:
- use the Service for any unlawful, harmful, deceptive, or fraudulent purpose;
- reverse engineer, resell, or use the Service to build a competing product, or exceed the plan limits you purchased;
- upload malware, attempt to breach security, or disrupt or overload the Service;
- circumvent the AI disclosure, impersonate a human, or use the assistants for high-risk uses (e.g., regulated medical/health data, or unlicensed professional advice);
- infringe intellectual-property or privacy rights of others.
5. Customer data & tenant responsibilities
You and your clients retain ownership of the data you put into the Service (“Customer Data”), including leads, conversations, and knowledge-base content. You grant us a limited license to host and process Customer Data solely to provide the Service. You are responsible for the Customer Data you supply, for the accuracy of your assistants’ knowledge bases, for disclosing the AI assistant and obtaining any required consents in your own privacy policy, and for complying with laws applicable to you (including state privacy laws and, for any texting you enable, the TCPA). Our handling of personal information is described in the Privacy Policy.
6. AI output — no guarantees, not professional advice
The Service uses artificial intelligence to generate responses. AI output can be inaccurate, incomplete, or unexpected. It is provided for informational purposes only and is not legal, medical, financial, or other professional advice and creates no professional or fiduciary relationship. You are responsible for reviewing AI output and for the business decisions you make based on it. You must not present AI output as human advice or as a substitute for a licensed professional.
7. Billing & subscriptions
Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, plus any usage-based charges described in your plan. Subscriptions renew automatically at the end of each term unless you cancel before the renewal date; you can cancel at any time from your billing settings and retain access through the end of the paid period. Fees are stated exclusive of taxes. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods or unused usage. We may change pricing on prospective notice; non-payment may lead to suspension or termination.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by Relay AI and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You keep all rights in your Customer Data. Any feedback you provide may be used by us without obligation to you.
9. Termination
You may stop using and cancel the Service at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure. On termination your right to use the Service ends; we will make Customer Data available for export for a limited period, after which it is deleted or de-identified as described in the Privacy Policy.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.
11. Limitation of liability
To the maximum extent permitted by law, Relay AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid to us in the three (3) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Relay AI harmless from claims, damages, and expenses arising from your Customer Data, your use of the Service, or your breach of these Terms.
13. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes not otherwise subject to an agreed dispute-resolution process.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the “Last updated” date above and, for significant changes, notify account owners. Your continued use of the Service after an update means you accept the revised Terms.
